Terms of Service

TaskNuts is a technology marketplace that facilitates connections between customers seeking services and independent contractors who may choose to perform those services.

TaskNuts is not:

a general contractor; a construction company; a home repair company; a staffing agency; an employer of contractors.

Unless expressly stated otherwise, TaskNuts does not perform repair or maintenance work.

You must:

be at least 18 years old; have legal capacity to enter contracts; provide accurate information; maintain accurate account information.

You are responsible for:

maintaining password security; all activity under your account; immediately notifying TaskNuts of unauthorized access.

TaskNuts may suspend or terminate accounts at its discretion for violations of these Terms.

The Platform allows users to:

request services; accept service opportunities; communicate regarding projects; schedule work; process payments; review completed work.

TaskNuts facilitates these interactions but is not a party to the underlying service contract between the customer and contractor unless expressly stated otherwise.

When a customer confirms a contractor through the Platform, the customer and contractor enter into a service relationship with one another.

TaskNuts facilitates this process but is not responsible for the performance, quality, timing, or outcome of the services.

The Platform may provide:

in-app messaging; AI-assisted messaging; push notifications; email; SMS; masked telephone communications.

Communications may be monitored, stored, and analyzed for:

customer support; fraud prevention; quality assurance; dispute resolution; AI functionality; platform improvement.

By using the Platform, you consent to these communications.

TaskNuts may use artificial intelligence to assist with:

communication; scheduling; project summaries; document generation; repair recommendations; contractor matching; customer support; quality analysis.

AI-generated information is provided for convenience and should not be relied upon as professional legal, engineering, architectural, or financial advice.

Payments are processed through third-party payment providers, including Stripe Connect.

By using the Platform, you authorize TaskNuts and its payment processor to process payments in accordance with applicable agreements and policies.

TaskNuts is not responsible for delays caused by payment processors or financial institutions.

TaskNuts may charge:

marketplace fees; subscription fees; processing fees; service fees; convenience fees; other disclosed fees.

Applicable fees will be disclosed before they are incurred whenever reasonably practicable.

Users may submit:

ratings; reviews; photographs; comments; survey responses.

TaskNuts may remove or moderate content that violates these Terms or applicable law.

TaskNuts may calculate proprietary reputation metrics, including the TaskNuts Trust Engine™ and TaskNuts Performance Index™ (TPI™).

These metrics may affect contractor visibility, eligibility, tier status, and access to marketplace opportunities.

Calculation methods are proprietary and may change without notice.

You retain ownership of content you upload.

By uploading content, you grant TaskNuts a worldwide, non-exclusive, royalty-free license to use, reproduce, display, modify, and distribute such content for operating, improving, marketing, and providing the Platform.

Users may not:

violate applicable laws; impersonate others; provide false information; interfere with Platform operations; attempt unauthorized access; upload malicious software; engage in fraud; harass other users; manipulate reviews or ratings.

Use of the Platform is also governed by the TaskNuts Privacy Policy, incorporated herein by reference.

The Platform may integrate with third-party providers including payment processors, mapping services, identity verification providers, background check providers, communication services, and AI providers.

TaskNuts is not responsible for third-party services or their availability.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

TASKNUTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TaskNuts does not guarantee:

uninterrupted service; error-free operation; contractor availability; project completion; quality of work; user conduct.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKNUTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.

TASKNUTS'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(a) THE AMOUNT PAID TO TASKNUTS BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(b) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply.

You agree to defend, indemnify, and hold harmless TaskNuts, its officers, employees, affiliates, members, managers, successors, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

your use of the Platform; your violation of these Terms; your violation of law; your negligence or misconduct; your content.

TaskNuts may suspend or terminate any account at any time for:

fraud; abuse; violations of these Terms; safety concerns; misuse of the Platform; legal compliance.

Users may stop using the Platform at any time.

Termination does not affect accrued rights or obligations.

You consent to receive electronic communications from TaskNuts, including notices, disclosures, agreements, invoices, and other records.

Electronic records satisfy any legal requirement that communications be in writing.

The Platform, including its software, trademarks, logos, designs, text, graphics, algorithms, and proprietary systems, including the TaskNuts Trust Engine™ and TaskNuts Performance Index™, are owned by TaskNuts or its licensors and are protected by applicable intellectual property laws.

No rights are granted except as expressly provided in these Terms.

TaskNuts may modify these Terms from time to time.

Material changes will be communicated through the Platform or by other reasonable means.

Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed under the laws of the State of Missouri, without regard to its conflict-of-law principles.

The parties may agree to resolve disputes through binding arbitration administered by the American Arbitration Association (AAA) or another mutually agreed arbitration provider. The enforceability, scope, any class-action waiver, and any exceptions should be reviewed by legal counsel to ensure compliance with applicable federal and state law.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with any applicable Marketplace Contractor Agreement, Customer Agreement, Privacy Policy, Payment Policy, and other referenced policies, constitute the entire agreement between you and TaskNuts regarding your use of the Platform.
